Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On January 12, 2007, Kenneth M. Duberstein resigned from the Board of Directors of Fannie Mae (formally, the Federal National Mortgage Association), effective February 15, 2007. Mr. Duberstein has been a Fannie Mae director since 1998. The Company and Mr. Duberstein felt it was important for Mr. Duberstein to stay on the Board of Directors through the completion of Fannie Mae's restatement and the filing of its 2004 Annual Report on Form 10-K, which are now complete.

Ken has provided the company with valuable strategic counsel, leadership and service throughout his tenure on the Board. He fulfilled his board responsibilities with the same public spiritedness, integrity and dedication that he has demonstrated throughout his entire career. We will miss him.
