Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 14, 2024, Fannie Mae (formally, the Federal National Mortgage Association) filed a current report on Form 8-K with the Securities and Exchange Commission to report that, among other things, on May 10, 2024, Diane N. Lye was appointed to the Board of Directors of Fannie Mae, effective as of May 10, 2024 (the “Original Form 8-K”). At the time of the Original Form 8-K filing, the Board committees on which Dr. Lye would serve had not been determined.
Fannie Mae is filing this Amendment No. 1 to the Original Form 8-K to report that, on July 18, 2024, its Board of Directors appointed Dr. Lye to serve on the Risk Policy and Capital Committee and the Audit Committee, effective as of August 1, 2024.
